Terms of service

Please read these Terms and Conditions ("Terms") carefully. These Terms govern your access to and use of the Bad Lion website, online store, products, services, and related features. By accessing the website, creating an account, or placing an order, you agree to these Terms and to the policies incorporated into them. If you do not agree, do not use the website or place an order.

1. The parties

These Terms are an agreement between Bad Lion Productions LLC ("Bad Lion," "we," "us," or "our") and the person or entity accessing the website or purchasing a product ("you" or "your"). If you act for a business or other organization, you represent that you have authority to bind that organization.

2. Related policies

The following policies are incorporated into these Terms by reference:

• Returns and Refunds Policy
• Shipping Policy
• Privacy Policy

These policies should be read together with these Terms. If a specific policy conflicts with these Terms on the subject it directly governs, the more specific policy controls for that subject. These Terms control in all other respects.

Our Privacy Policy explains how personal information is collected, used, disclosed, and protected. It also describes choices and rights that may be available to you. By using the website, you acknowledge that you have had an opportunity to review the Privacy Policy.

3. Eligibility and account information

You must be legally capable of entering into a binding agreement in your jurisdiction. If you are under the age of majority, you may use the website only with the involvement and permission of a parent or legal guardian.

You agree to provide current, complete, and accurate account, billing, shipping, and payment information. You are responsible for maintaining the confidentiality of your account credentials and for activity occurring through your account. Notify us promptly if you believe an account has been accessed without authorization.

We may refuse service, suspend an account, limit quantities, or cancel an order when reasonably necessary to prevent fraud, misuse, unlawful activity, security risks, or violations of these Terms.

4. Website use

Bad Lion grants you a limited, revocable, non-exclusive, non-transferable right to access and use the website for personal, lawful shopping and informational purposes.

You may not:

• Use the website for unlawful, fraudulent, abusive, or deceptive activity.
• Interfere with the website, its security, or another person's use of it.
• Introduce malware, malicious code, or harmful automated requests.
• Scrape, harvest, copy, reproduce, or commercially exploit website content without written permission.
• Circumvent purchase limits, access restrictions, or security controls.
• Impersonate another person or misrepresent your identity or authority.
• Use Bad Lion content, product information, or systems to create a confusingly similar or competing commercial offering.

We may restrict or terminate access for violations of these Terms.

5. Products and product information

We make reasonable efforts to describe products accurately. Product descriptions, photographs, colors, materials, dimensions, ingredients, scent descriptions, packaging, availability, and other information may contain reasonable variation or may appear differently depending on your device and display.

Hand-finished, small-batch, natural-material, printed, or made-to-order products may exhibit variations that are not defects. Any material variation, limitation, safety requirement, production condition, or return restriction that is important to a purchase should be disclosed on the applicable product page or in the relevant policy.

We may correct errors, inaccuracies, or omissions and update information at any time. We will not make a material substitution to a confirmed order without notice and any consent required by applicable law.

6. Prices, taxes, discounts, and promotions

Prices are shown in U.S. dollars unless stated otherwise. Taxes, shipping charges, package-protection charges, duties, and other applicable amounts are displayed separately when required and are added before order submission.

Promotions, discount codes, bundles, and quantity offers may be subject to separate eligibility rules, dates, exclusions, and limits. Offers cannot be combined unless expressly permitted. We may correct an obvious pricing or promotional error before accepting or fulfilling an order. If we cancel an order because of such an error, we will refund the amount charged for the canceled item or order.

7. Orders and acceptance

Submitting an order is an offer to purchase. An automated order confirmation acknowledges that we received the order but does not necessarily mean that we accepted it. We may verify payment, availability, shipping information, quantity limits, and fraud indicators before accepting or fulfilling an order.

We may reject, limit, or cancel an order because of product unavailability, incorrect information, suspected fraud, pricing or system errors, shipping restrictions, legal requirements, or other reasonable operational grounds. If we cancel an order after payment, we will refund the applicable amount to the original payment method, subject to payment-provider processing times.

Products are subject to availability. Placing an item in a cart does not reserve it.

8. Payment

You authorize Bad Lion and its payment providers to charge the payment method submitted for the total shown at checkout. You represent that you are authorized to use that payment method.

Payments may be processed by third-party providers. Bad Lion does not receive or store all payment-card details when those details are collected directly by a payment provider. Failed, reversed, disputed, or unauthorized payments may result in an order being delayed or canceled.

9. Shipping and delivery

Shipping, processing, tracking, delivery, address changes, split shipments, lost packages, and damaged packages are governed by our Shipping Policy.

Processing time and carrier transit time are separate. Delivery dates are estimates unless expressly identified as guaranteed. Orders containing products with different production schedules or fulfillment locations may arrive in separate packages.

You are responsible for providing a complete and accurate delivery address. Address changes and order cancellations are not guaranteed after processing or fulfillment begins.

Title and risk-of-loss rules apply only to the extent permitted by applicable law. Nothing in these Terms removes rights or remedies that cannot legally be waived.

10. Optional shipping protection

We offer optional package protection through an independent third-party provider, Route, for eligible orders. When offered, the protection selection, price, and revised order total are displayed at checkout. The selection may be removed before the order is submitted.

Package protection is separate from shipping charges and from Bad Lion's Returns and Refunds Policy. Purchasing package protection is optional and is not required to place an order.

If you purchase package protection:

• Coverage, eligibility, exclusions, filing deadlines, evidence requirements, claim review, and remedies are governed by the protection provider's applicable terms and privacy practices.
• Covered claims for loss, theft, or transit damage may need to be submitted through the provider's claim process.
• Bad Lion may provide reasonable assistance with order information or claim submission, but the provider controls its claim decision and approved remedy.
• A provider-approved refund, replacement, reimbursement, or store-credit remedy does not create a right to an additional recovery for the same loss.

If you decline package protection, you retain any rights available under applicable law and Bad Lion's published policies. Declining optional protection does not waive a non-waivable consumer right or excuse Bad Lion from obligations imposed by law.

Package protection does not replace the ordinary return process. Dissatisfaction, fit, preference, change-of-mind returns, and other non-shipping issues remain governed by the Returns and Refunds Policy.

Route Package Protection is governed by Route's Terms and Conditions and Package Protection Policies. Customers with a protected order may file a claim through Route.

11. Returns, refunds, exchanges, and cancellations

Returns, refunds, exchanges, order problems, and eligible cancellations are governed by the Returns and Refunds Policy.

Eligibility may vary by product category, condition, use, hygiene or safety concerns, customization, final-sale status, or other disclosed restrictions. A product-specific restriction that materially affects the purchase should appear on the applicable product page before checkout.

Do not send a return without following the instructions in the Returns and Refunds Policy. Unauthorized returns may be refused or delayed. Nothing in the policy limits rights that cannot legally be limited.

Return abuse and fraud

We may review, limit, or refuse return privileges when we reasonably identify return fraud, repeated policy abuse, wardrobing, the return of used, altered, substituted, or incomplete products, false claims, attempts to obtain duplicate recovery, or efforts to evade purchase or return limits. We may also reject a particular return that does not satisfy the published policy.

Any restriction will be applied based on the circumstances and available records. This provision does not limit remedies for a defective, damaged, incorrect, or misdescribed product, or any consumer right that cannot legally be waived.

12. Product use and safety

Read and follow all labels, warnings, ingredient information, care instructions, and use directions supplied with a product. Use products only for their intended purposes.

For candles and other products involving flame, heat, glass, fragrance, skin contact, or other safety considerations, follow the product-specific instructions and stop use if the product appears damaged or unsafe. Keep products away from children and pets when instructed. Never disregard a safety label or product warning because of general information on the website.

Product information is not medical advice. Consult an appropriate professional when you have a medical condition, allergy concern, sensitivity, or other circumstance requiring individualized advice.

13. Reviews and submitted content

If you submit a review, photograph, comment, message, or other content, you retain ownership of content you lawfully own. You grant Bad Lion a worldwide, non-exclusive, royalty-free, sublicensable license to host, reproduce, display, adapt for formatting, distribute, and use that content in connection with the website, products, customer service, and marketing, subject to our Privacy Policy and applicable law.

You represent that you have the rights necessary to submit the content and that it is not unlawful, deceptive, defamatory, infringing, abusive, or invasive of another person's privacy. We may moderate or remove submitted content, but we are not required to publish or retain it.

14. Intellectual property

The website and its content, including Bad Lion names, trademarks, logos, product names, product descriptions, photographs, artwork, graphics, packaging, designs, text, and site presentation, are owned by or licensed to Bad Lion and are protected by applicable intellectual-property laws.

Purchasing a product does not transfer ownership of associated copyrights, trademarks, designs, or other intellectual property. No Bad Lion intellectual property may be used commercially without prior written permission.

Copyright complaints

If you believe material available through the website infringes a copyright you own or are authorized to enforce, submit a written notice to support@thebadlion.com. Include:

• Your name and contact information.
• Identification of the copyrighted work.
• Identification and location of the material you believe is infringing.
• A statement that you have a good-faith belief that the disputed use is not authorized by the copyright owner, its agent, or applicable law.
• A statement that the information in your notice is accurate and that you are the copyright owner or authorized to act for the owner.
• Your physical or electronic signature.

We may remove or restrict access to material while reviewing a sufficiently detailed complaint. This procedure does not replace any notice requirements established by applicable law.

Equitable relief

Unauthorized use of Bad Lion intellectual property, confidential systems, or protected website access may cause harm that cannot be adequately remedied by money alone. To the extent permitted by law, Bad Lion may seek injunctive or other equitable relief in addition to other available remedies. This provision does not create a presumption that Bad Lion is entitled to relief without satisfying the applicable legal requirements.

15. Third-party services and links

The website may rely on or link to third-party services, including Shopify, payment processors, shipping carriers, fulfillment partners, package-protection providers, analytics services, social platforms, and customer-support tools.

Independent third parties may apply their own terms and privacy policies to their services. Bad Lion is not responsible for an independent service solely because the website links to or interoperates with it. This provision does not remove any responsibility Bad Lion has for the products it sells or any obligation that cannot be delegated under applicable law.

16. Privacy and electronic communications

Our collection and use of personal information are described in the Privacy Policy.

You consent to receive transactional communications electronically, including order confirmations, security notices, shipping updates, customer-service messages, and policy notices. Marketing communications are governed by the choices and consent mechanisms applicable to those communications. You may opt out of marketing without opting out of necessary transactional messages.

17. Disclaimer of warranties

EXCEPT AS EXPRESSLY PROVIDED IN A WRITTEN WARRANTY OR REQUIRED BY LAW, THE WEBSITE, PRODUCTS, AND SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS.

TO THE FULLEST EXTENT PERMITTED BY LAW, BAD LION DISCLAIMS IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. BAD LION DOES NOT WARRANT THAT THE WEBSITE WILL ALWAYS BE AVAILABLE, SECURE, OR ERROR-FREE.

SOME JURISDICTIONS DO NOT ALLOW CERTAIN WARRANTY DISCLAIMERS. IN THOSE JURISDICTIONS, THESE DISCLAIMERS APPLY ONLY TO THE MAXIMUM EXTENT PERMITTED BY LAW.

18. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, BAD LION AND ITS MEMBERS, MANAGERS, EMPLOYEES, AGENTS, CONTRACTORS, AND AFFILIATES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOSS OF DATA, OR REPLACEMENT COSTS, ARISING FROM OR RELATING TO THE WEBSITE, A PRODUCT, OR THESE TERMS.

TO THE FULLEST EXTENT PERMITTED BY LAW, BAD LION'S TOTAL LIABILITY FOR A CLAIM ARISING FROM A PRODUCT OR ORDER WILL NOT EXCEED THE AMOUNT PAID FOR THE PRODUCT OR ORDER GIVING RISE TO THE CLAIM.

These limitations do not apply to liability that cannot legally be excluded or limited, including any liability resulting from fraud, willful misconduct, gross negligence where not waivable, or other non-waivable consumer or product-liability rights.

19. Indemnification

To the extent permitted by law, you agree to indemnify and hold harmless Bad Lion and its members, managers, employees, agents, contractors, and affiliates from third-party claims, losses, liabilities, and reasonable costs arising from your unlawful misuse of the website, your violation of these Terms, your infringement of another person's rights, or content you submit.

This obligation does not apply to claims caused by Bad Lion's own unlawful conduct or to the extent prohibited by applicable law.

20. Governing law and venue

These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law principles that would require another jurisdiction's laws.

Subject to non-waivable consumer rights, the state courts located in Dallas County, Texas and the federal courts serving the Northern District of Texas will have exclusive jurisdiction over disputes arising from these Terms, the website, or a purchase. You consent to the personal jurisdiction of those courts.

Nothing in this section limits rights or remedies that cannot be waived under the law of your state or country of residence.

21. Changes to these Terms

We may revise these Terms from time to time. The effective date identifies the current version.

The version in effect when an order is placed governs that transaction unless applicable law requires otherwise. Updated Terms apply prospectively to later website use and later purchases. Material changes will be communicated when required by law.

22. Severability, waiver, and assignment

If a provision of these Terms is found unlawful or unenforceable, it will be enforced to the maximum extent permitted and the remaining provisions will remain effective.

A failure to enforce a provision is not a waiver of that provision. You may not assign your rights or obligations under these Terms without our written consent. We may assign these Terms as part of a merger, reorganization, financing, sale of assets, or similar business transaction, subject to applicable law.

Provisions that by their nature should continue after account closure, access restriction, order completion, or termination will survive, including provisions concerning intellectual property, submitted content, payment obligations, disclaimers, limitations of liability, indemnification, dispute terms, and accrued rights.

23. Entire agreement

These Terms, the policies incorporated by reference, the applicable product page, and the order confirmation constitute the agreement governing your use of the website and purchase. Product-specific terms control only for the product or issue they expressly address.
